Terms & Conditions

To use the Platform you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By creating an Account, you warrant that you meet these requirements.

When registering, you agree to:

• Provide accurate, current, and complete information about yourself or your organisation.
• Keep your registration information up to date.
• Maintain the confidentiality of your password and Account credentials.
• Accept responsibility for all activities that occur under your Account.
• Notify us immediately of any unauthorised use of your Account.

We reserve the right to refuse registration or suspend Accounts at our discretion, including where we believe information provided is inaccurate or misleading.

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Post or transmit any Content that is false, misleading, defamatory, obscene, or otherwise objectionable.
• Misrepresent your identity, credentials, funding status, or organisational affiliation.
• Solicit or harvest personal information of other Users without their consent.
• Send unsolicited commercial communications (spam) via the Platform’s messaging tools.
• Use automated scripts, bots, or scrapers to access or collect data from the Platform.
• Circumvent any security measures or attempt to gain unauthorised access to any part of the Platform.
• Use the Platform to conduct any activity that violates applicable law, including anti-money-laundering, sanctions, or financial services regulations.
• Reproduce, distribute, or create derivative works from our Content without prior written permission.

We may, at our sole discretion, remove Content or suspend Accounts that violate these standards without prior notice.

Certain features of the Platform are available only to subscribers on a paid basis. Subscription plans, pricing, and included features are described on the Platform and are subject to change with reasonable notice.

Billing. Subscriptions are billed in advance on a monthly or annual basis as selected at checkout. You authorise us (or Stripe, our payment processor) to charge your selected payment method on each renewal date until you cancel.

Cancellation. You may cancel your subscription at any time from your Account settings. Cancellation takes effect at the end of your current billing period; we do not provide pro-rata refunds for unused time unless required by applicable law.

Refunds. All fees are non-refundable except where required by law or expressly stated in a separate agreement. If you believe you have been charged in error, contact us at hello@dazzle.africa within 30 days of the charge.

Taxes. Prices may be exclusive of applicable taxes (e.g., VAT). Where tax applies, it will be displayed at checkout.

Failed payments. If a payment fails, we may suspend access to premium features until payment is successfully processed. We will notify you of failed payments by email.

Your Content. You retain ownership of any Content you upload or submit to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and distribute your Content solely for the purpose of operating and improving the Platform.

Our Platform. All intellectual property rights in the Platform itself — including its design, software, trademarks, logos, and curated data — are owned by or licensed to TRUVERI LTD. Nothing in these Terms grants you any right to use our intellectual property other than as strictly necessary to use the Platform.

Responsibility for Content. You are solely responsible for any Content you submit. You warrant that your Content does not infringe any third-party intellectual property rights and does not violate any applicable law.

Feedback. If you provide us with feedback or suggestions about the Platform, you grant us an unrestricted, perpetual licence to use that feedback without obligation to you.

Dazzle Africa is an introduction and discovery platform. We facilitate connections between ecosystem actors but we are not a party to any agreement, investment, partnership, or transaction entered into between Users.

We do not:

• Provide financial, investment, legal, or tax advice.
• Verify the accuracy of any User’s claims about their business, financials, or credentials beyond basic profile verification steps.
• Act as an intermediary, broker, or agent in any commercial transaction.
• Guarantee the outcome or success of any introduction or partnership.

Users are responsible for conducting their own due diligence before entering into any commercial relationship. We strongly encourage independent legal and financial advice for material transactions.

The Platform integrates or relies on third-party services to deliver its functionality. These include (but are not limited to):

• Supabase — database and authentication infrastructure.
• Sanity — content management.
• Anthropic (Claude) / OpenAI — AI-powered features.
• Vercel — platform hosting and edge delivery.
• Stripe — subscription billing and payment processing.

Your use of the Platform is subject to the terms and privacy policies of these third-party providers. We are not responsible for the acts or omissions of any third-party service provider.

The Platform may contain links to external websites or resources. We do not endorse and are not responsible for the content, accuracy, or availability of external sites.

Platform availability. We aim to provide a reliable service but do not guarantee uninterrupted or error-free access to the Platform. Scheduled or emergency maintenance may result in periods of unavailability.

Exclusion of certain losses. To the maximum extent permitted by applicable law, TRUVERI LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of the Platform.

Cap on liability. Our total aggregate liability to you for any claim arising in connection with the Platform shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim or (b) £100.

Consumer rights. Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under English law.

By you. You may delete your Account at any time from your Account settings. Deletion will be processed in accordance with our Privacy Policy.

By us. We may suspend or terminate your Account and access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Where we terminate without cause, we will refund any pre-paid subscription fees on a pro-rata basis for the unused period.

Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 6, 7, 9, and 12 — shall continue to apply.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory local consumer protection laws that may apply to you.
